Terms of Service

These terms form a binding legal agreement between you and WealthApp Pty Ltd (ACN 696 737 676) (“WealthApp”, “we”, “us” or “our”). By accessing, browsing, registering for an account, downloading our mobile application, or otherwise using our website at www.wealthapp.com.au (the “Website”) or our mobile application (the “App”, and together with the Website, the “Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you must not use the Platform.
PARTICULARLY IMPORTANT: WealthApp operates the Platform as a referral and information service only. We do not provide, endorse, supervise, vet, control, supply, or warrant the products, services, advice, recommendations, or any other output of the third-party businesses listed, promoted, recommended or otherwise made available through the Platform (each, a “Referral Partner”). Any engagement you have with a Referral Partner is a separate transaction between you and that Referral Partner, on their terms, and at your sole risk. WealthApp is not a party to that transaction and accepts no responsibility or liability for it. Sections 6 and 14 explain this in more detail and you should read them carefully before using the Platform.
1. About these Terms
1.1 These Terms govern your use of the Platform. By using the Platform, you agree to these Terms, our Privacy Policy, and any other policies, guidelines or rules that we publish on the Platform from time to time, all of which are incorporated by reference.
1.2 We may update these Terms from time to time. Where the change is material, we will give you reasonable prior notice (such as by email, in-app notification, or notice on the Platform). Your continued use of the Platform after the effective date of the updated Terms constitutes your acceptance of the updated Terms. If you do not agree, you must stop using the Platform.
1.3 These Terms were last updated on the date shown above. Earlier versions are superseded.
2. Definitions
In these Terms:
• “Account” means a registered user account on the Platform.
• “Australian Consumer Law” means Schedule 2 to the Competition and Consumer Act 2010 (Cth).
• “Content” means all text, data, images, logos, video, audio, software, code, listings, ratings, reviews, communications and other materials made available on or through the Platform.
• “Intellectual Property Rights” means all current and future registered and unregistered rights in respect of copyright, designs, trade marks, trade names, domain names, patents, inventions, know-how, trade secrets, confidential information and all analogous rights anywhere in the world.
• “Referral Partner” means any third-party business, professional, broker, advisor, agent, lender, service provider, advertiser or other entity listed, promoted, recommended, advertised, linked to, or otherwise made available through the Platform.
• “Referral Partner Services” means any product, service, advice, recommendation, opinion, communication, transaction or other output offered or provided by a Referral Partner, whether or not introduced or facilitated through the Platform.
• “User”, “you” or “your” means the individual or entity accessing or using the Platform.
• “User Content” means any content, data, information, communications or materials that you submit, post, upload, transmit or otherwise make available through the Platform.
3. The Platform and Our Role
3.1 WealthApp operates a digital platform that allows Users to discover, compare and connect with Referral Partners across various wealth-related categories. The Platform is an information and referral service.
3.2 We are not a party to any agreement between you and a Referral Partner. When you engage a Referral Partner - whether through the Platform or otherwise — you contract directly with that Referral Partner on terms agreed between you and them. WealthApp is not your agent, broker, fiduciary, advisor or representative, and is not the agent or representative of any Referral Partner unless we expressly state otherwise in writing.
3.3 No advice. Any information made available through the Platform — including listings, descriptions, ratings, comparisons, calculators, tools, articles or general guidance — is provided for general information purposes only. It does not take into account your personal objectives, financial situation or needs. It is not financial product advice, legal advice, tax advice, credit advice, investment advice, accounting advice, or any other form of professional or regulated advice. Before acting on any information on the Platform, you should consider its appropriateness having regard to your own circumstances and obtain advice from a suitably qualified and licensed professional.
3.4 We may at our sole discretion add, remove, modify, suspend or otherwise alter any feature, listing, Referral Partner or Content on the Platform at any time without notice.
4. Eligibility and Accounts
4.1 To use the Platform you must be at least 18 years of age, a resident of Australia (unless we expressly extend availability to your jurisdiction), and able to enter into a legally binding contract under applicable law.
4.2 Some features require you to register an Account. You agree to (a) provide accurate, current and complete information; (b) keep that information up to date; (c) keep your login credentials secure and confidential; (d) not share your Account with any other person; and (e) promptly notify us of any unauthorised access to or use of your Account.
4.3 You are responsible for all activity that occurs under your Account, whether or notauthorised by you, except to the extent caused by our breach of these Terms or our negligence.
4.4 We may decline to issue, suspend or terminate any Account at our sole discretion, including where we reasonably believe you have breached these Terms or where required by law.
5. Mobile Application
5.1 Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to download and use the App on a device that you own or control, solely for your personal, non-commercial use.
5.2 You acquire no ownership of the App. All Intellectual Property Rights in the App remain with us or our licensors.
5.3 If you download the App from a third-party app store (such as the Apple App Store or Google Play) (an “App Store”), your use of the App is also subject to the applicable App Store’s terms. In the event of a conflict between the App Store terms and these Terms in respect of your use of the App, the App Store terms prevail to the extent of the inconsistency.
5.4 You acknowledge that: (a) these Terms are between you and WealthApp only, not with any App Store; (b) the App Store has no obligation to provide any maintenance or support services for the App; (c) in the event of any failure of the App to conform to any applicable warranty, you may notify the App Store, and the App Store may refund the purchase price (if any) to you; and (d) the App Store is a third-party beneficiary of the App-related provisions of these Terms and is entitled to enforce them against you.
5.5 You must comply with any usage rules set out by the applicable App Store and any device or operating-system requirements we communicate from time to time.
6. Referral Partners - No Warranty, No Liability
6.1 Independent third parties. Referral Partners are independent third parties. They are not employees, agents, partners (in the legal sense), representatives, joint venturers or contractors of WealthApp. WealthApp does not own, operate, control, supervise, direct, employ or manage any Referral Partner or any aspect of the Referral Partner Services.
6.2 No vetting; no endorsement. While we may apply basic listing or onboarding criteria from time to time, you acknowledge and agree that we do not, and have no obligation to, conduct due diligence, background checks, qualification verification, regulatory licensing checks, credit checks, insurance verification, suitability assessments or quality assessments of any Referral Partner or any Referral Partner Services. Any rating, ranking, listing, recommendation, badge, sort order or promotional placement of a Referral Partner on the Platform does not constitute an endorsement, recommendation, certification or guarantee of any kind by WealthApp.
6.3 No warranty as to quality, suitability, accuracy, legality or compliance. To the maximum extent permitted by law, WealthApp makes no representation, warranty, guarantee or undertaking — whether express, implied, statutory or otherwise — in relation to any Referral Partner or any Referral Partner Services, including (without limitation) as to their:
• quality, fitness for purpose, suitability, merchantability, value, performance, durability or reliability;
• accuracy, completeness, currency or truthfulness of any information, statement, advice, opinion, projection, calculation or recommendation provided by the Referral Partner;
• compliance with any law, regulation, licensing requirement, professional standard, industry code or contractual obligation;
• availability, pricing, delivery, fulfilment, completion, outcome or result;
• conduct, character, qualifications, experience, expertise, solvency, integrity or insurance of the Referral Partner or its personnel; or
• non-infringement of any third-party Intellectual Property Rights or other rights.
6.4 You contract with the Referral Partner, not us. Any contract, transaction, dealing, communication or relationship between you and a Referral Partner is exclusively between you and that Referral Partner. We are not a party to it, are not bound by it, and accept no responsibility for it. You are solely responsible for evaluating any Referral Partner and any Referral Partner Services before engaging them, including by making your own enquiries, obtaining independent professional advice and reviewing the Referral Partner’s own terms, disclosure documents and policies.
6.5 No liability for Referral Partners or Referral Partner Services. To the maximum extent permitted by law, WealthApp is not responsible or liable to you (or to any third party claiming through you) for any loss, damage, cost, expense, claim, demand, injury, harm or liability of any kind arising directly or indirectly out of, or in any way connected with:
• any act, omission, default, breach, negligence, misrepresentation, misconduct, fraud or insolvency of a Referral Partner;
• any Referral Partner Services (including any advice, recommendation, opinion or output of any kind), whether provided to you, accepted by you, relied on by you, or otherwise;
• any contract or arrangement between you and a Referral Partner, or any failure to enter into, perform, complete or terminate such a contract or arrangement;
• any product, financial product, credit product, insurance product, security, investment, scheme, transaction or other dealing offered, arranged, recommended or otherwise involved with by a Referral Partner;
• any inaccuracy, error, omission or misrepresentation in any information, listing, description, rating, profile or material supplied by a Referral Partner or sourced from a third party;
• any dispute, complaint, investigation, regulatory action or proceeding between you and a Referral Partner or otherwise involving a Referral Partner; or
• any consequential outcome, financial loss, lost profits, lost opportunity, lost data, reputational damage or personal harm flowing from any of the above.
6.6 Disputes with Referral Partners. If you have a dispute, complaint or claim concerning a Referral Partner or any Referral Partner Services, you must raise and pursue that matter directly with the Referral Partner concerned. While we may, at our discretion and without obligation, assist you to make contact with the Referral Partner or pass on a complaint, we do not act as mediator, arbiter, ombudsman, advocate or representative in any such matter, and our doing so does not create any liability on our part.
6.7 Release. To the maximum extent permitted by law, you release WealthApp and its officers, directors, employees, contractors, agents, affiliates and licensors from all claims, demands, actions, suits, causes of action, damages, losses, costs and expenses (whether known or unknown, present or future, actual or contingent) arising out of or in connection with any Referral Partner, any Referral Partner Services, or any dispute or transaction between you and a Referral Partner.
6.8 Commercial arrangements with Referral Partners. You acknowledge that we may receive referral fees, advertising revenue, commissions, subscription fees, success fees or other compensation from Referral Partners in connection with their listing on, promotion through, or referrals received via, the Platform. Receipt of such compensation does not affect the operation of this Section 6 and does not make WealthApp responsible or liable for any Referral Partner or any Referral Partner Services. Where required by law, the existence and nature of such arrangements will be disclosed on the Platform.
7. Acceptable Use
7.1 You agree that you will not, and will not permit any other person to:
• use the Platform in breach of any law, regulation or industry code, or in a manner that infringes any third party’s rights;
• use the Platform for any fraudulent, deceptive, harassing, defamatory, threatening, abusive or otherwise unlawful purpose;
• interfere with, disrupt or impose an unreasonable load on the Platform or any associated infrastructure, networks or systems;
• attempt to gain unauthorised access to the Platform, any Account, or any system or network connected to the Platform;
• introduce any virus, worm, trojan, malware, ransomware or other malicious or harmful code;
• scrape, harvest, crawl, data-mine, reverse-engineer, decompile or otherwise extract or copy any Content from the Platform, except as expressly permitted by us in writing;
• use the Platform or any Content to develop, train or improve any artificial intelligence, machine learning or similar model;
• impersonate any person or misrepresent your affiliation with any person or entity;
• submit any User Content that is false, misleading, defamatory, infringing, obscene, threatening, discriminatory or otherwise objectionable;
• use the Platform to send unsolicited commercial messages or otherwise contravene the Spam Act 2003 (Cth) or the Privacy Act 1988 (Cth); or
• use the Platform to compete with us or to develop a competing product or service.
8. User Content
8.1 You retain all Intellectual Property Rights in your User Content. By submitting User Content to the Platform, you grant WealthApp a worldwide, non-exclusive, royalty-free, sublicensable and transferable licence to host, store, reproduce, modify, adapt, publish, translate, communicate, distribute and display that User Content for the purposes of operating, providing, promoting and improving the Platform and our services.
8.2 You represent and warrant that you have all rights necessary to grant the licence in clause 8.1 and that your User Content does not infringe any third-party rights or contravene any law.
8.3 You are solely responsible for your User Content. We are not obliged to monitor User Content but may, in our sole discretion, review, screen, edit, refuse, disable access to or remove any User Content at any time, with or without notice.
9. Our Intellectual Property
9.1 All Intellectual Property Rights in the Platform and the Content (other than User Content and content owned by Referral Partners or other third parties) are owned by or licensed to WealthApp.
9.2 Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform and the Content for your personal, non-commercial use only.
9.3 You must not use any of our trade marks, logos, branding or trade dress without our prior written consent.
10. Privacy
10.1 We collect, hold, use and disclose personal information in accordance with the Privacy Act 1988 (Cth), the Australian Privacy Principles, and our Privacy Policy (available at [INSERT URL]), which forms part of these Terms.
10.2 By using the Platform, you acknowledge and agree that we may share your personal information with Referral Partners as reasonably necessary to facilitate a referral or introduction you have requested, and that the Referral Partner’s use of that information will be subject to the Referral Partner’s own privacy policy and practices, for which we are not responsible.
11. Third-Party Links and Platforms
11.1 The Platform may contain links to, or integrations with, third-party websites, applications, services or content (“Third-Party Resources”). Third-Party Resources are not under our control.
11.2 We provide such links and integrations for convenience only. We do not endorse, sponsor or assume responsibility for any Third-Party Resources, their content, privacy practices, or any products or services offered through them. Your use of any Third-Party Resource is at your own risk and on the third party’s terms.
12. Fees
12.1 Use of the Platform is currently free for Users unless we expressly notify you otherwise. Any paid features will be clearly identified, and the applicable fees, payment terms and refund policies will be disclosed before you incur a charge.
12.2 We may introduce, change or remove fees at any time. Where a change affects fees you are already paying, we will give you reasonable prior notice.
12.3 All amounts are in Australian dollars and, unless stated otherwise, exclusive of GST.
13. Australian Consumer Law
13.1 Nothing in these Terms excludes, restricts or modifies any guarantee, right, warranty or remedy that you may have under the Australian Consumer Law or any other law where to do so would be unlawful. If a guarantee, right, warranty or remedy is implied into these Terms by law and cannot be excluded, but can be limited, our liability for breach of that guarantee, right, warranty or remedy is limited, at our option, to:
• in the case of goods, the replacement of the goods or the supply of equivalent goods, the repair of the goods, the payment of the cost of replacing the goods or of acquiring equivalent goods, or the payment of the cost of having the goods repaired; and
• in the case of services, the supplying of the services again or the payment of the cost of having the services supplied again.
14. Disclaimers and Limitation of Liability
14.1 “As is” basis. Subject to Section 13 and to the maximum extent permitted by law, the Platform and all Content are provided on an “as is” and “as available” basis, without warranty, representation or guarantee of any kind, whether express, implied, statutory or otherwise. Without limiting the foregoing, we do not warrant that the Platform will be uninterrupted, error-free, secure, free from viruses or other harmful components, or that any defect will be corrected.
14.2 Exclusion of indirect loss. Subject to Section 13 and to the maximum extent permitted by law, in no event will WealthApp or any of its officers, directors, employees, contractors, agents, affiliates or licensors be liable to you or any third party for any indirect, incidental, consequential, special, exemplary or punitive loss or damage, or for any loss of profits, loss of revenue, loss of business, loss of opportunity, loss of goodwill, loss of data, loss of savings or wasted expenditure, however arising (including in contract, tort (including negligence), under statute or otherwise), even if we were advised of the possibility of such loss or damage.
14.3 Cap on liability. Subject to Section 13 and to the maximum extent permitted by law, WealthApp’s total aggregate liability to you arising out of or in connection with these Terms or your use of the Platform - whether in contract, tort (including negligence), under statute or otherwise - is limited to the greater of the total amount of fees you have actually paid to WealthApp under these Terms in the 12 months immediately preceding the event giving rise to the liability.
14.4 Reasonableness. You acknowledge that the disclaimers and limitations of liability in these Terms are reasonable having regard to the nature of the Platform, the fact that we provide a referral and information service rather than the underlying Referral Partner Services, and the fees (if any) charged by us.
15. Indemnity
15.1 To the maximum extent permitted by law, you indemnify and will keep indemnified WealthApp and each of its officers, directors, employees, contractors, agents, affiliates and licensors against all losses, damages, claims, demands, actions, proceedings, costs and expenses (including legal costs on a full indemnity basis) suffered or incurred arising out of or in connection with:
• your use or misuse of the Platform;
• your breach of these Terms or any applicable law;
• your User Content;
• any dispute, claim or transaction between you and a Referral Partner; or
• any negligent, wilful or fraudulent act or omission by you.
15.2 This Section 15 does not apply to the extent the loss or damage is caused by our negligence, wilful misconduct or breach of these Terms.
16. Suspension and Termination
16.1 We may suspend, restrict or terminate your access to the Platform or any Account, in whole or in part, at any time, with or without notice and with or without cause, including where we reasonably believe you have breached these Terms, where required by law, or where continued access poses a risk to the Platform, other Users or our business.
16.2 You may stop using the Platform and close your Account at any time.
16.3 Termination does not affect any rights or obligations that have accrued prior to termination. Sections 6, 8.1, 9, 10, 13, 14, 15, 16.3, 18 and 19 survive termination.
17. Force Majeure
17.1 We are not liable for any failure or delay in performing our obligations under these Terms to the extent caused by an event beyond our reasonable control, including acts of God, natural disasters, pandemic, government action, war, terrorism, civil unrest, strikes, failure of utilities, telecommunications or internet service providers, third-party platform outages, or cyber-attacks (including denial-of-service attacks).
18. Governing Law and Jurisdiction
18.1 These Terms are governed by the laws of Queensland, Australia.
18.2 Each party irrevocably submits to the exclusive jurisdiction of the courts of Queensland, Australia and any courts competent to hear appeals from those courts.
18.3 Before commencing any court proceeding (other than for urgent injunctive relief), the parties must first attempt in good faith to resolve the dispute by direct negotiation between senior representatives, and failing that, by mediation administered by the Resolution Institute (or another body agreed in writing) in Brisbane.
19. General
19.1 Entire agreement. These Terms (together with the Privacy Policy and any other documents incorporated by reference) constitute the entire agreement between you and WealthApp in relation to your use of the Platform and supersede all prior representations, understandings or agreements.
19.2 Severability. If any provision of these Terms is held to be invalid, illegal or unenforceable, that provision will be read down to the extent necessary to make it valid and enforceable, or if it cannot be read down, severed from these Terms, without affecting the validity or enforceability of the remaining provisions.
19.3 Waiver. A failure or delay by us to exercise any right or remedy under these Terms is not a waiver of that right or remedy. A waiver is only effective if given in writing.
19.4 Assignment. You may not assign, transfer, novate or otherwise deal with your rights or obligations under these Terms without our prior written consent. We may assign, transfer or novate our rights and obligations under these Terms at any time, including in connection with a sale, merger, restructure or change of control of our business.
19.5 Subcontracting. We may subcontract or sublicense the performance of any of our obligations under these Terms.
19.6 Relationship of the parties. Nothing in these Terms creates any partnership, joint venture, agency, fiduciary or employment relationship between you and us.
19.7 No third-party beneficiaries. Except as expressly stated in clause 5.4, these Terms do not confer any rights on any person who is not a party to them.
19.8 Notices. We may give notices to you by email to the address associated with your Account, by in-app notification, or by posting on the Platform.
19.9 Survival. Any provision of these Terms that by its nature is intended to survive termination will so survive.
